Joseph P. Galda
MANAGING PARTNER
JP Galda is the founder and managing partner of JP Galda & Co. With nearly four decades of experience in securities law, corporate finance, and cross-border transactions, he founded the firm in 2013 with a simple goal: provide sophisticated legal counsel with the direct involvement and responsiveness clients deserve.
JP has represented clients in 19 countries and advised companies at every stage of growth. His experience spans public and private offerings, IPOs and secondary registrations, mergers and acquisitions, reverse mergers, corporate control transactions, proxy contests, and ongoing SEC reporting and compliance.
He has advised companies across a range of industries, including Revelation Biosciences Inc., Soluna Holdings Inc., and Bunker Hill Mining Corp.
Before founding the firm, JP practiced at several leading law firms, including Fox Rothschild LLP, Hodgson Russ LLP, and Buchanan Ingersoll & Rooney PC. He served as President of Corsair Advisors, providing strategic counsel to emerging companies in the energy, natural resources, and technology sectors. He also led a cross-border securities practice in Toronto, advising Canadian companies on U.S. securities matters and serving as an expert witness on U.S. securities law in Ontario court proceedings.
JP earned his Bachelor of Arts and Juris Doctor from Rutgers University. He is admitted to practice law in Pennsylvania and previously served as Foreign Legal Consultant in Ontario, Canada.
Elijah Smarrito
Associate Attorney
Elijah Smarrito is an Associate Attorney at JP Galda & Co. He focuses on corporate and securities law, with experience in corporate governance, SEC compliance, and capital markets transactions.
From public offerings and private placements to ongoing disclosure and reporting obligations, Elijah works closely with both public and private companies on the legal and regulatory matters that come with growth. His experience includes preparing Form S-1
registration statements, Regulation D offerings, and Form S-8 equity compensation plans, as well as advising on the resale of restricted securities through Rule 144 and Rule 904 opinions. He also helps clients stay aligned as their businesses evolve through ongoing SEC reporting and state compliance.
Elijah began his career with the firm as a law clerk. He also served
as a summer legal intern with the New Jersey Office of the Attorney General, working on administrative law matters on behalf of the state.
He earned his Bachelor of Arts from Rutgers University and his Juris Doctor from Widener University Delaware Law School. He’s admitted to practice law in the state of New Jersey.
